Terms of Service

• Definitions: Key terms used in this document are defined in the Dictionary at the end of these Terms.
• Scope: These Terms apply to your use of our Platform. They consist of the general terms applicable to the entire Platform and specific terms that apply only to certain Travel Products (e.g., flights, hotels).
• Acceptance: By accessing or using our Platform, creating an Account, or making a Booking Request, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not use our Platform.
• Language: The original version of these Terms is in English. Any translated version is for convenience only. In case of a dispute about the contents or interpretation of these Terms, the English version shall prevail.

• Who We Are: Solegateus LLC is an online travel agency registered in the United States. We own and operate the “Soulgate” Platform.
• What We Do: Soulgate is an online travel agency. We provide technology and facilitation services through our Platform, which allows Users to search for, compare, and book Travel Products and services offered by independent third-party Travel Suppliers. Our role is to act as an intermediary and agent between you and the Travel Suppliers.
• What We Do NOT Do: Soulgate is an online travel agency, not a provider of the underlying Travel Products. Soulgate does NOT provide, own, operate, control, manage, or deliver any Travel Products. We are not an airline, hotelier, tour operator, transportation provider, or seller of travel services in our own right. Soulgate is NOT a party to your travel service contract. Soulgate does NOT set prices for Travel Products. Soulgate does NOT control availability, establish cancellation or refund policies, or manage any aspect of the actual service delivery.
• Neutral Tools: Our Platform provides tools that facilitate the display, search, comparison, and initiation of bookings for Travel Products. The provision of these tools does not make Soulgate a provider of, or party to, any Travel Product.
• Your Contractual Relationship: When you make a booking through our Platform, you enter into a direct and legally binding contract SOLELY with the relevant Travel Supplier for the provision of the Travel Product.
• Payment Facilitation: For certain bookings, Soulgate may facilitate the payment for the Travel Product. When we process your payment, we do so as a limited payment collection agent on behalf of the Travel Supplier.
• Content Accuracy: All information about Travel Products displayed on our Platform is information provided to us by the respective Travel Suppliers. Soulgate does not create, verify, or guarantee this information.
• No Endorsement: The appearance of a Travel Supplier or Travel Product on our Platform does not constitute a recommendation, endorsement, sponsorship, or approval by Soulgate.
• Age Requirement: The Platform is not intended for and may not be used by individuals under the age of 18.
• Partners: We may work with other companies (“Partners”) to display their Travel Products on our Platform.

• Account: You may need to create an Account to access certain features. You agree to provide accurate information and are responsible for all activities under your Account.
• License to Use Platform: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.
• Prohibited Activities: You agree not to use the Platform for any commercial purpose or for resale, make speculative or fraudulent bookings, use automated means to access content, reverse engineer the Platform, frame or mirror the Platform, impose unreasonable loads, or transmit unlawful content.
• Suspension: We reserve the right to deny access, suspend, or terminate your Account at any time for any violation of these Terms.

• Content Disclaimer: Soulgate does not guarantee the authenticity, accuracy, ownership, or completeness of any Content on the Platform.
• Dynamic Pricing: Prices for Travel Products are dynamic and can change at any time before a Confirmed Booking.
• Platform Availability: We do not guarantee uninterrupted access to the Platform.
• User Content: You grant Soulgate a worldwide license to use any User Content you post. We reserve the right to remove any User Content at our discretion.
• Liability for Content: Soulgate is not responsible or liable for any Content provided by Travel Suppliers.

When you submit a Booking Request, you are making an offer to purchase a Travel Product from the relevant Travel Supplier at the displayed price and subject to their terms. Soulgate is NOT the merchant of record for the Travel Products you purchase. We act as an intermediary.

• Payment Authorization: You authorize Soulgate or our third-party payment processors to charge your selected Payment Instrument for the total booking amount.
• Currency: We may apply an “Additional Amount” (a currency conversion margin) if the Charge Currency is different from the Product Currency.
• Taxes and Fees: The price displayed includes all taxes and fees including a non-refundable fee that Soulgate retains as compensation for providing our services. Government-imposed taxes may increase after booking.
• Additional Charges: The Travel Supplier may charge you directly for optional services (e.g., resort fees, baggage fees). Soulgate has no control over these charges.

All policies regarding cancellations, modifications, and refunds are determined EXCLUSIVELY by the Travel Supplier. You must read and agree to the Travel Supplier’s terms before making a booking.

• Soulgate Fees: We may charge our own non-refundable administrative fee for processing a cancellation or modification on your behalf.
• Your Representations: You warrant that you have the legal capacity to enter into this agreement, are authorized to use the Payment Instrument, and will provide accurate information.
• Travel Responsibilities: You are solely responsible for ensuring you have all required travel documents (passports, visas), obtaining necessary travel insurance, meeting health requirements, and arriving on time.

• Rewards: If offered, Rewards have no cash value, are non-transferable, and may expire or be forfeited if you violate these Terms.
• Intellectual Property: All content on the Platform is the property of Solegateus LLC. You may not use it without our written permission.
• Third-Party Links: We may provide links to external websites for your reference, but we are not responsible for their content.
• Privacy and Cookies: Your use of the Platform is governed by our Privacy Policy and Cookie Policy.
• Accessibility and Insurance: Contact the Travel Supplier directly for accessibility inquiries. Travel insurance is offered by third-party providers.

WE ARE NOT LIABLE FOR TRAVEL SUPPLIER ACTIONS.

Soulgate shall not be liable for the acts, errors, omissions, representations, warranties, breaches, or negligence of ANY Travel Supplier, nor for any injuries, death, property damage, or other damages resulting from any Travel Product. Your sole recourse for such claims is against the Travel Supplier.

To the fullest extent permitted by law, our maximum aggregate liability to you is limited to the amount you paid to Soulgate for the specific booking related to your claim (excluding amounts paid for the Travel Product itself).

Indemnification: You agree to defend and indemnify Solegateus LLC from any claims or losses brought by third parties as a result of your breach of these Terms, violation of any law, or use of the Platform.

• Governing Law: These Terms shall be governed by the laws of the State of Virginia, USA.
• Mandatory Arbitration: Any disputes shall be resolved exclusively through final and binding arbitration conducted by the American Arbitration Association (AAA), rather than in court.
• Class Action Waiver: You and Soulgate agree to bring claims ONLY ON AN INDIVIDUAL BASIS and not as a plaintiff or class member in any class action.
• Opt-Out: You may opt out of arbitration by sending a written notice within 30 days of accepting these Terms to Solegateus LLC.

• We may modify these Terms at any time. Your continued use constitutes acceptance.
• If any provision is found invalid, the remaining provisions will still apply.
• These Terms, along with our Privacy and Cookie Policies, constitute the entire agreement.
